Magetsi Platform Terms and Conditions
These Terms and Conditions ("Terms") govern access to and use of the Magetsi platform and services provided by Qwiktech Solutions Private Limited trading as Magetsi ("Magetsi", "we", "us", "our"). By accessing or using the platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.
1. Definitions
- "Platform" means the Magetsi website, applications, APIs, chat/WhatsApp interfaces, dashboards, and any related digital channels we provide.
- "Customer" means an individual or legal entity using the Platform.
- "Business Customer" means a Customer using Magetsi Business; Business Bill Payments, Biller Services, or other organisational features.
- "Authorised User" means an employee, contractor, or representative authorised by a Customer to access the Platform under that Customer's account.
- "Principal" means a third-party service provider whose product or service is available through the Platform (e.g., utilities, mobile network operators, billers, insurers, event organisers, payment processors).
- "Transaction" means a payment instruction or purchase initiated on the Platform (including bulk, recurring, or scheduled payments) and any related confirmations, reversals, or adjustments.
- "Wallet" means a prepaid balance maintained on the Platform for a Customer to fund Transactions.
- "Service Provider" means a third party that processes data or provides services on our behalf (e.g., hosting, analytics, communications, support tooling).
- "Privacy Policy" means the Magetsi Privacy Policy available at https://www.magetsi.co.zw/privacy-policy.
- "SLA" means the Service Level Agreement applicable to Business Customers, where issued, including the Magetsi Bill Payment Solution SLA.
2. Scope and Agency Basis
Magetsi provides a digital platform that facilitates bill payments and related services. Unless expressly stated otherwise, products and services made available through the Platform are provided on an agency basis on behalf of Principals. This means the underlying service is provided by the relevant Principal, and availability and delivery of that service may depend on the Principal's systems and rules.
3. Services
Services may include, without limitation: prepaid electricity token purchases, airtime and data bundles, internet subscriptions, biller collections, bulk and recurring payments, event ticketing, and other bill payment services that may be introduced from time to time. Certain products may have specific terms displayed on their relevant pages; those terms will apply and take precedence over these general Terms if there is a conflict.
4. Accounts, Access and Security
4.1 Account creation
Some features require registration. You agree to provide accurate information and keep it up to date.
4.2 Business Customers and authorised users
Business Customers are responsible for: (a) inviting and managing Authorised Users; (b) configuring roles, approval levels, and separation of duties; and (c) ensuring Authorised Users comply with these Terms.
4.3 Credentials and security
You are responsible for safeguarding credentials and restricting access. You must promptly notify Magetsi of any suspected compromise, unauthorised access, or suspicious activity.
5. Payments, Wallet Funding and Transaction Processing
5.1 Payment methods
Magetsi may support payment methods including EcoCash, local bank transfers, and international cards (VISA and Mastercard) where available.
5.2 Wallets
For Business Customers, Transactions are typically funded from a prepaid Wallet. You must maintain sufficient Wallet balance before initiating Transactions. Magetsi does not provide credit unless agreed in writing.
Wallet balances represent prepaid funds held by Magetsi on your behalf for the purpose of funding Transactions. Wallet balances do not earn interest unless expressly agreed in writing. Treatment of Wallet balances upon termination, suspension, or dormancy is set out in Section 9.1.5 and 9.1.6.
Magetsi may set minimum and maximum Wallet balance limits and will communicate these on the Platform or in applicable Business Customer agreements.
5.3 Processing and confirmations
Magetsi will issue a transaction reference or status update for Transactions. Transaction completion times may vary and depend on the relevant Principal and payment networks. A "success" status means the Platform has received confirmation from the relevant processing chain at that time; delayed confirmations or reversals may occur in exceptional cases.
5.4 Bulk and recurring payments
Bulk, recurring, or scheduled payments may be subject to volume, connectivity, and Principal limitations. Business Customers remain responsible for verifying reports and confirmations, particularly for high-volume or time-sensitive runs.
6. Fees
Fees, commissions, and charges (if any) will be disclosed on the Platform or in applicable product pages, proposals, or Business Customer agreements. Third-party charges imposed by Principals or payment networks may apply.
7. Refunds, Reversals and Adjustments
7.1 General rule
Magetsi generally does not issue refunds for completed Transactions where the underlying service has been delivered by the Principal.
7.2 Exceptions
Refunds or reversals may be considered for failed or incomplete Transactions where payment was successful but the service was not delivered, subject to verification and the Principal's rules.
7.3 How to request
To request a refund or investigation, contact Customer Support and provide relevant transaction details. Magetsi may require additional information to validate the claim.
8. Chargebacks and Disputes
Customers agree to contact Magetsi Support first to attempt resolution before initiating chargebacks or external disputes. If a Customer initiates a chargeback without first contacting Magetsi, Magetsi may recover reasonable administrative costs incurred in handling the dispute, where permitted by law and payment network rules.
9. Fraud, Misuse and Compliance
Magetsi has a zero-tolerance policy for fraud and misuse. We may suspend or terminate access, delay processing, or require additional verification where we detect or reasonably suspect fraudulent activity. Business Customers must ensure their Authorised Users comply with applicable laws and internal policies.
9.1. Term, Suspension and Termination
9.1.1 Term
These Terms take effect when you first access or use the Platform and remain in effect until terminated by either party in accordance with this section.
9.1.2 Termination by Customer
You may terminate your account at any time by contacting Customer Support or using any account closure feature available on the Platform. Termination takes effect upon confirmation by Magetsi, and any pending or in-progress Transactions at the time of the termination request will be completed or cancelled at Magetsi's reasonable discretion.
9.1.3 Termination by Magetsi
Magetsi may terminate or suspend your account: (a) for convenience, upon not less than 30 days' written notice; (b) immediately, if you breach these Terms and fail to remedy the breach within 14 days of written notice (where the breach is capable of remedy); (c) immediately, where Magetsi reasonably suspects fraud, misuse, or illegal activity; or (d) immediately, where required by law, regulation, or a valid authority request.
9.1.4 Suspension
In addition to the suspension rights in Section 9, Magetsi may suspend your access to the Platform or specific features where: (a) your Wallet balance has been insufficient for 90 consecutive days; (b) there has been no login or Transaction activity on your account for 12 consecutive months; or (c) Magetsi determines suspension is necessary to protect the integrity of the Platform or other Customers. Magetsi will use reasonable efforts to notify you before or promptly after any suspension.
9.1.5 Effect of termination
(a) Upon termination for any reason, your right to access and use the Platform ceases immediately (subject to completion of pending Transactions under clause 9.1.2).
(b) Wallet balances: Any remaining Wallet balance will be refunded to the Customer's nominated bank account within 30 business days of termination, less any outstanding fees, charges, or amounts owed to Magetsi. Magetsi may deduct reasonable administrative costs where the refund requires manual processing. Where Magetsi is unable to process a refund due to incomplete or incorrect banking details after two written requests, the balance will be treated in accordance with clause 9.1.6.
(c) Data: Magetsi will retain transactional records for the period required by applicable law and regulatory obligations. Personal data will be handled in accordance with the Privacy Policy.
(d) Surviving provisions: Sections 10, 11, 14, 15, and 17 survive termination.
9.1.6 Dormant accounts and unclaimed balances
Where a Customer account has had no login or Transaction activity for 12 consecutive months, Magetsi may classify the account as dormant and notify the Customer at the last known contact details. If no response is received within 60 days of notification, Magetsi may: (a) restrict account functionality; and (b) apply a monthly dormancy administration fee as published on the Platform, provided the fee does not exceed the remaining Wallet balance. Unclaimed balances will be dealt with in accordance with applicable law.
10. Confidentiality (Business Customers)
Magetsi will treat Business Customer transactional and account information as confidential and will not disclose it except: (a) to provide the services (including sharing with Principals and Service Providers); (b) where required by law or a valid authority request; or (c) with the Business Customer's consent. This does not restrict Magetsi from using aggregated, de-identified information for service improvement.
11. Intellectual Property
All content and software on the Platform are owned by Magetsi or its licensors and protected by applicable intellectual property laws. You may not copy, modify, or distribute Platform content except as expressly permitted.
12. Privacy and Data Processing
12.1 Magetsi processes personal data in accordance with the Privacy Policy.
12.2 Where Business Customers provide personal data of Authorised Users, employees, or end-users to Magetsi, the Business Customer: (a) confirms it has the lawful right and any necessary consents to provide that data for processing in connection with the Service; (b) acknowledges that it is the data controller of such personal data and that Magetsi processes it as a data processor in accordance with Section 4 of the Privacy Policy; and (c) will comply with applicable data protection laws in relation to the personal data it provides.
12.3 Where a Data Processing Addendum ("DPA") has been executed between Magetsi and the Business Customer, the DPA forms part of these Terms and prevails to the extent of any conflict with this Section 12 or the Privacy Policy.
13. Disclaimer; Third-Party Dependencies
The Platform relies on third-party systems (including Principals and payment networks). Magetsi does not warrant that services will be uninterrupted or error-free. Where practical, Magetsi will use reasonable efforts to mitigate and communicate third-party issues, but cannot control third-party availability or response times.
14. Limitation of Liability
To the maximum extent permitted by law, Magetsi is not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, goodwill, or data. Magetsi's total liability for any claim relating to a specific Transaction is limited to the amount paid by the Customer for that Transaction. Nothing in these Terms limits liability for fraud or wilful misconduct to the extent such limitation is not permitted by law.
15. Indemnification
Customers agree to indemnify and hold harmless Magetsi and its officers, directors, employees, agents, and affiliates from claims, losses, and expenses arising from: (a) the Customer's or Authorised Users' misuse of the Platform; (b) breach of these Terms; or (c) violation of applicable law.
16. Changes
We may update these Terms from time to time by posting the updated Terms on the Platform. Continued use after the effective date constitutes acceptance.
17. Governing Law and Arbitration
These Terms are governed by the laws of Zimbabwe. Any dispute not resolved by good-faith discussion shall be referred to arbitration in Zimbabwe in accordance with the Arbitration Act (Chapter 7:15), conducted in English, unless otherwise required by law.
